1. Acceptance of Terms
By downloading, installing, or using the Naia mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.
2. Description of Service
Naia is a travel planning application that allows users to import, organize, and save spots from various sources including social media platforms (Instagram, TikTok), websites, screenshots, and notes. The App uses artificial intelligence to process saved content and generate optimized travel itineraries.
3. User Accounts
You may be required to create an account to use certain features of the App. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. User Content and Intellectual Property
You retain ownership of any content you submit to the App, including saved spots, images, notes, and itineraries ("User Content"). By submitting User Content, you grant Naia a non-exclusive, worldwide, royalty-free license to use, store, and process your User Content solely for the purpose of providing the App's services to you.
4.1 Third-Party Content
You are responsible for ensuring that any content you import from third-party sources complies with applicable copyright laws and terms of service. Naia does not claim ownership of content imported from external sources and is not responsible for any copyright infringement by users.
5. Prohibited Conduct
You agree not to:
- Use the App for any illegal purpose or in violation of any local, state, national, or international law
- Violate or infringe the rights of others, including copyright, trademark, or privacy rights
- Attempt to gain unauthorized access to the App or its related systems
- Upload viruses, malware, or any other malicious code
- Interfere with or disrupt the App or servers
- Use the App to harass, abuse, or harm others
6. AI-Generated Content
Naia uses artificial intelligence to process content and generate travel itineraries. While we strive for accuracy, AI-generated itineraries and recommendations may not always be perfect. You acknowledge that you are responsible for reviewing and verifying the accuracy of any AI-processed content, including locations, routes, and travel suggestions.
7. Subscriptions and Payments
Some features of the App may require a paid subscription. Subscription fees are charged through your Apple App Store or Google Play Store account and are subject to their respective terms and conditions. All subscription fees are non-refundable except as required by applicable law or as otherwise stated in our refund policy.
8. Termination
We reserve the right to suspend or terminate your access to the App at any time, without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the App will immediately cease.
9. Disclaimers and Limitation of Liability
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, NAIA DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL NAIA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.
10. Indemnification
You agree to indemnify and hold harmless Naia and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the App or violation of these Terms.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and within the App. Your continued use of the App after such changes constitutes acceptance of the modified Terms.
